These Terms of Service ("Terms") govern your access to and use of LearnForge, an AI-assisted lesson authoring plugin and associated cloud proxy service ("Service"), provided by DLT Holdings LLC, a Montana limited liability company. By completing a subscription purchase, you ("Customer", "you", or "your") agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
LearnForge consists of:
mod_learnforge) installed on your Moodle-based Learning Management System ("LMS"), licensed to you under the GNU General Public License v3.0 (GPL). The plugin code is free to install and use.The GPL license for the plugin does not extend to the Proxy service. The Proxy is proprietary software operated as a service.
LearnForge is offered on a per-LMS, annual subscription basis. Available plans and current pricing are listed at learnforge.academy/#pricing. Plans include a bundled allocation of Sparks — AI generation credits used to generate lesson narration, images, and content.
Subscriptions are billed annually in advance. Your subscription begins on the date of purchase and renews automatically on the same date each year unless cancelled in accordance with Section 4.
Your subscription will renew automatically at the then-current rate unless you cancel before your renewal date. You will receive a reminder email at least 30 days before your renewal date. You authorize DLT Holdings to charge your payment method on file for each renewal.
All payments are processed by Stripe, Inc. DLT Holdings does not store your credit card number or payment details. By making a purchase, you also agree to Stripe's Terms of Service and Privacy Policy.
Sparks are non-refundable AI generation credits bundled with each subscription plan. Unused Sparks do not roll over between subscription years. Additional Sparks may be purchased at any time via the plugin's admin panel. Purchased Spark packs are also non-refundable once issued to your account. DLT Holdings' Spark consumption logs are the authoritative record of Spark usage. Customers may view their Spark balance and transaction history in the plugin admin panel.
You may upgrade your subscription plan at any time. Upgrades take effect immediately. You will be charged only the prorated difference between your current plan and the new plan for the remainder of your billing period. Additional Sparks reflecting the difference in plan allocations will be credited to your account immediately.
You may request a downgrade to a lower plan at any time. Downgrades take effect at the end of your current annual billing period. You will retain access to your current plan's features and Spark balance until your renewal date. No refund or credit is issued for the remaining period. Your plan will change to the selected lower tier at renewal.
You may cancel your subscription at any time by contacting us at legal@learnforge.academy or via the cancellation option in your plugin's admin panel. Cancellation stops automatic renewal; you retain access to the Service until the end of your current paid period.
Upon cancellation:
Except as provided in the Refund Policy (Section 5), subscription fees are non-refundable. Cancelling mid-term does not entitle you to a partial refund for the unused portion of the subscription year.
If you are a new customer making your first LearnForge subscription purchase, you may request a full refund within 14 days of the initial purchase date. To request a refund, contact legal@learnforge.academy with your purchase details. Refunds are issued to the original payment method and may take 5–10 business days to appear. This cooling-off period applies to first purchases only and does not apply to renewals, plan upgrades, or Spark pack purchases.
If you are located in the European Union or United Kingdom, you have a statutory right of withdrawal from digital service contracts within 14 days of purchase, unless the service has been fully performed. By requesting that we begin providing the Service immediately upon purchase (including issuing your license key and Spark allocation), you acknowledge that the right of withdrawal may be limited once the Service has commenced. We will honour refund requests within the 14-day window in all cases, regardless of whether the Service has been used.
Additional Spark pack purchases are non-refundable once the Sparks have been credited to your account.
You agree not to use the Service to:
DLT Holdings may suspend access to the Service immediately, without prior notice, if it reasonably believes a violation of Section 6.1 has occurred, or upon non-payment of fees that remain outstanding after 7 days' notice. Suspension does not relieve you of your payment obligations. DLT Holdings will notify you of the suspension and the reason promptly after it takes effect. Access will be restored upon resolution of the underlying issue.
The LearnForge plugin (mod_learnforge) is licensed under the GNU General Public License v3.0. You have the rights granted by that license with respect to the plugin code.
The LearnForge Proxy, including its source code, architecture, and associated infrastructure, is proprietary to DLT Holdings. No rights to the Proxy beyond those expressly granted in these Terms are conveyed by your subscription.
All lesson content you create using LearnForge — including text, audio, images, and lesson data — belongs to you. DLT Holdings does not claim any ownership over content generated using your Spark credits. AI-generated audio and images produced using the Service are provided for your use subject to the terms of the underlying AI providers (ElevenLabs, Black Forest Labs). You are responsible for ensuring your use of AI-generated content complies with applicable law.
DLT Holdings may collect and use aggregated, anonymized usage data (e.g., Spark consumption patterns, feature usage) to improve the Service. This data does not identify you or your organization individually.
DLT Holdings will make reasonable efforts to maintain the availability of the LearnForge Proxy. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavor to provide advance notice of scheduled maintenance.
Your existing lessons will continue to function for learners during any Proxy outage — only AI generation and subscription management features require the Proxy to be available.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DLT HOLDINGS DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
The Service depends on third-party AI providers including Anthropic, ElevenLabs, and Black Forest Labs. DLT Holdings does not control these providers and is not responsible for disruptions, API changes, or discontinuation of their services. Outages or changes by these providers do not constitute a breach of these Terms. In the event of a prolonged disruption to a core AI provider, DLT Holdings will make reasonable efforts to switch to an alternative provider. DLT Holdings' ability to deliver AI-generated content is contingent on the continued availability of these third-party services.
DLT Holdings is not liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemics, government actions, internet or telecommunications failures, third-party provider outages, or cyberattacks. DLT Holdings will notify you of any such event promptly and will resume performance as soon as reasonably practicable.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless DLT Holdings LLC and its members, officers, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service in violation of these Terms, your violation of any applicable law, or content you create using the Service.
These Terms are governed by the laws of the State of Montana, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Montana, and you consent to personal jurisdiction in those courts.
DLT Holdings may update these Terms from time to time. We will notify you of material changes by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
